Terms of Sale — Visual Sectors


1. What these terms are, and what they add to

These Terms of Sale govern every purchase you make on the Visual Sectors platform at visualsectors.com from Visual Sectors, Inc., Suite 305, 131 Continental Drive, Newark, Delaware 19713, United States ("Visual Sectors", "we", "us") — a subscription, a run pack, or a pay-as-you-go top-up.

The Visual Sectors Data API is a separate product and is not sold under these terms. Its plan, its call packs and its own terms of sale are at api.visualsectors.com/legal/api-plan.

They sit alongside the Terms of Service, the Privacy Policy and the Risk Disclaimer, which continue to apply to everything you do with Visual Sectors. Where these Terms of Sale and the Terms of Service disagree about a purchase, these govern.

The Risk Disclaimer is not displaced by anything here. Paying for a run does not turn information into advice.


2. The unit you are buying: a run

A run is one piece of paid work you ask for. It is spent when the work is produced, not when you look at it again.

A run is spent when you:

Opening the same ticker's same reading again on the same day does not spend another run. Pages, charts and data that are not in that list do not spend runs. The Alfred chat tells you how its questions count before you send the first one.

We will add more places where a run is spent. When we do, the list above is updated and the product tells you before the run is spent. We will not silently make something that was free cost a run without saying so on the page where it happens.


3. The plans and what they cost

All prices are in US dollars. See §9 for tax.

3.1 Free

A free account gets 20 runs a month. The allowance resets monthly. Unused free runs do not carry over. No card, no subscription, and you can stay here indefinitely.

3.2 Pro subscription

US $79.95 a month, or US $799.50 a year — ten months' price for twelve. Either way you get 5,000 runs a month.

The monthly allowance resets at the start of each billing month. Unused subscription runs do not carry over — they are what the subscription buys that month. Run packs are different: see §3.4.

3.3 Pay-as-you-go, without a subscription

You can buy runs without subscribing, at US $0.50 a run.

On a purchase under US $10, the payment processor's fee is charged in addition to the price of the runs. The fee is shown as its own line before you pay, never added afterwards, and it is the processor's charge for handling a small payment, not a margin of ours. At US $10 and above there is no fee.

If you would rather not pay it, buy US $10 or more at once — the runs never expire (§3.4), so there is no disadvantage to buying a larger amount and using it over time.

3.4 Run packs — for subscribers

Once your subscription's 5,000 runs for the month are used, you can buy packs of 500 runs for US $10 (US $0.02 a run). US $10 is the minimum purchase, and you can buy any multiple of it. There is no processor fee on a pack.

Bought runs never expire. They carry from month to month for as long as your account exists, and they are still there if you cancel and come back. Your subscription's included runs are always spent first; bought runs are spent only after those run out.

Nothing is ever charged to your card automatically. When your balance reaches zero, the product shows you and stops. If you want more runs, you buy a pack yourself, that time, deliberately. We do not top your account up for you and there is no setting that makes us.

3.5 What you pay

The price you see at checkout is the price that is charged — including the processor's fee where §3.3 says one applies — plus tax where §9 says tax applies. Your receipt itemises each of them.


4. Your 14-day trial

If you have never subscribed before, your first Pro subscription starts with a 14-day trial.

We will email you before the first charge. That email is a courtesy and does not change the dates above, which are also shown at checkout and in your account.


5. Renewals and cancellation

A subscription renews automatically — monthly on the same day each month, annually on the same date each year — until you cancel it.

You can cancel at any time, in your account, with no notice period and no cancellation fee. Cancelling stops the next renewal; it does not cut your current period short. You keep the plan, and the month's remaining allowance, until the period you have paid for ends. Any run packs you bought stay on your account (§3.4).

What cancelling looks like. We ask you to pick a reason from a short list, and we may offer you a discount to stay. Both are an ask, not a condition. Decline the offer and your cancellation completes immediately, in the same visit, online. We will never require you to telephone us, email us, or wait for us to act before a subscription you started online can be ended.

We will email you a receipt for every charge, and a reminder before each annual renewal.


6. Your right to cancel a purchase, and how you give it up

If you are a consumer in the United Kingdom or the European Union, you normally have 14 days to change your mind about something bought online, without giving a reason.

What you buy from us is digital: runs are credited and spent immediately. So, at checkout, we ask you to do two things, both by ticking a box that is not ticked for you:

  1. ask us to begin supply straight away, and
  2. acknowledge that by doing so you lose your right to cancel once supply has begun.

That is what the law requires before a trader may start supplying digital content inside the cancellation period.

If you do not tick those boxes, we do not begin supply until the 14 days have passed, and you keep the full right to cancel in the meantime.

In practice, for a Pro trial this changes nothing: nothing is charged for 14 days, so there is nothing to refund inside the cancellation period either way.


7. Refunds

Refunds have their own page: Refund Policy. It forms part of these Terms of Sale. In short: we refund the part you have not used, run packs are refundable while their runs are unspent, and a refund or a chargeback takes back the runs it paid for.


8. The Data API is a separate product

The Visual Sectors Data API and MCP server are sold separately, under their own terms, on their own hostname: api.visualsectors.com/legal/api-plan. Those terms are not part of these Terms of Sale, and nothing you agree to here applies to them.

A Pro subscription does not include Data API access, and a Data API plan does not include runs. They are two purchases, from two products, with two separate agreements.


9. Tax

Prices are shown exclusive of value added tax and sales tax where we are required to charge them. Where tax applies, it is calculated at checkout on the country or state you are in, added to the price shown, and itemised on your receipt.

If you are buying as a business and you give us a valid VAT number at checkout, the reverse charge may apply and we will not add VAT.


10. Changes to prices and plans

We may change prices. A change never affects a period you have already paid for. For a subscription, we will tell you by email at least 30 days before a new price takes effect at your next renewal, and you can cancel before then. Run packs you have already bought are not repriced — the runs are yours (§3.4).

We may change what a run is spent on, under the rule in §2.


11. Suspension, termination and what happens to your runs

If we suspend or close your account because you have broken the Terms of Service — for example by sharing an account, reselling the data, or abusing the Service — we may withhold unspent runs, and we do not refund the period in progress.

If we withdraw a plan or stop providing the Service, we refund the unused part of your current subscription period and the unspent runs you have bought, at what you paid for them.

If you close your account, unspent runs go with it. If you want a refund instead, ask before you close it: see the Refund Policy.


12. Liability

Section 10 of the Terms of Service applies to purchases, with one change now that the Service is paid: our total liability to you for all claims relating to a purchase is limited to the greater of US $100 and the amount you paid us in the 12 months before the claim.

Nothing here excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot lawfully be excluded — including, if you are a consumer, your statutory rights in the quality of what we supply.


13. Law, and where a dispute is heard

These Terms of Sale are governed by the laws of the State of Delaware, and the courts of Delaware have jurisdiction, exactly as §14 of the Terms of Service provides.

If you are a consumer in the United Kingdom or the European Union, nothing in this section takes away the protection of the mandatory law of the country where you live, or your right to bring proceedings there where the law gives you that right.
