Terms of Service — Visual Sectors


1. Who you are contracting with

The Visual Sectors platform at visualsectors.com — the site, your account, and the product features on it: Workflows, the Screener, and the single-stock page with its Options Indicators and News & Sentiment readings (together, the Service) — is operated by Visual Sectors, Inc., Suite 305, 131 Continental Drive, Newark, Delaware 19713, United States ("Visual Sectors", "we", "us").

By creating an account or using the Service, you agree to these Terms. If you are agreeing on behalf of a company, you confirm you are authorised to bind it, and "you" means that company.

Three other documents form part of these Terms: the Privacy Policy, the Risk Disclaimer and, if you buy anything, the Terms of Sale and the Refund Policy. The Risk Disclaimer matters. Please read it.

The Visual Sectors Data API and MCP server are a separate product, with their own terms, their own privacy policy and their own account. They are not covered by this document. If you want them, they are at api.visualsectors.com/legal/api-plan. A subscription here does not include Data API access, and a Data API plan does not include runs.


2. Eligibility

You must be at least 18 years old and legally able to enter a contract. The Service is not directed at children and we do not knowingly hold data about them.

You may not use the Service if you are subject to sanctions, or located in a country subject to comprehensive sanctions, that would make providing it to you unlawful.


3. Accounts

One account per person. You give us a real email address and a name, and you choose a password or sign in with Google. You must confirm your email address before the account is fully usable.

An account is one person's. Sharing an account with people outside your own household or organisation is a breach of these Terms — and where a plan's price depends on an allowance, it is the thing the price depends on. We may suspend an account we believe is being shared, and §11 of the Terms of Sale says what happens to unspent runs then.

You are responsible for everything done through your account. Keep your password to yourself, and tell us promptly if you believe your account has been compromised — security@visualsectors.com.

You may close your account at any time. See Privacy Policy §8 for what happens to your data when you do, and Terms of Sale §11 for what happens to runs you have bought.


4. What the Service currently provides

There are free and paid ways to use the Service. A free account gets a monthly allowance of runs; a paid plan raises it. A run is the unit of paid work — what spends one, and what a plan costs, is in the Terms of Sale. This section describes what the Service does; that describes what it costs.

We will change what is here. Features are added, altered and withdrawn. Where a change materially reduces what your account can do, §11 says what notice you get.


5. What you may do with the Service

Use it to research and evaluate securities, to build and test your own screens and studies, and to run internal research and analysis — for yourself or for the organisation whose account it is.

6. What you may not do

You must not:

  1. Share your account, or let anyone outside your own household or organisation use the Service through it.
  2. Work around the allowances in the Terms of Sale — by creating multiple accounts, or any other means. One account, one allowance.
  3. Systematically extract the data in order to reconstitute the dataset, in whole or in substantial part, whether by repeated querying, scraping, automating the interface, or a combination.
  4. Resell the data, or offer a service whose substance is redistributing it — see §7.
  5. Attempt to reach data, history or volumes your plan does not permit, or to defeat any access control.
  6. Probe, scan, load-test or attack the Service, or interfere with anyone else's use of it.
  7. Misrepresent Visual Sectors as the source of an investment recommendation, or present output of the Service as financial advice, as ours or your own.
  8. Use the Service unlawfully, including in breach of sanctions, market-abuse or securities law.
  9. Remove or obscure any attribution we require under §7.

If you break these rules we may suspend or terminate your access, with or without notice depending on the severity. Where we can, we will tell you what happened and give you a chance to put it right first.


7. Rights in the data

We own or licence the Service, its content, the schema and the derived indicators. Nothing in these Terms transfers ownership of anything to you.

Underlying market data is not all ours. Parts of what the Service shows originate with third-party data suppliers whose own terms restrict what may be done with it. Parts are our own derived work. The two are not currently distinguished on screen.

Until we publish a per-dataset statement of rights, the following applies to everything the Service shows:

We may revise this section as suppliers' terms are confirmed. Where a supplier's terms turn out to be narrower than what is written here, the supplier's terms govern and we will tell you.


8. Availability, and the absence of any promise about it

There is no service level. The Service is provided "as is" and "as available". We may change it, restrict it, take it down for maintenance, or withdraw it entirely.

We do not promise that the Service will be available, uninterrupted, timely, or free of errors, or that any dataset will continue to exist.

Paying does not change this. A plan buys you an allowance of runs, not a promise about uptime. If we withdraw a plan or stop providing the Service while you have paid for it, Terms of Sale §11 says what we refund.


9. The data may be wrong, and it is not advice

This is the most important clause in these Terms. It is set out in full in the Risk Disclaimer, which forms part of them.

In short: the Service delivers information, not advice. It does not take account of your circumstances, it is not a recommendation to buy, sell or hold anything, and it must not be relied on to make a financial decision. Market data may be delayed, incomplete, revised or wrong. Backtests, hold rates and historical statistics describe the past and predict nothing. Any decision you take is yours.

Paying for a run does not turn information into advice.


10. Warranties and liability

To the fullest extent the law allows, we exclude all warranties, conditions and terms implied by statute or common law, including any implied term as to accuracy, fitness for a particular purpose or non-infringement.

We are not liable to you for:

Where liability cannot lawfully be excluded, our total liability to you for all claims arising out of or relating to the Service is limited to the greater of US $100 and the amount you paid us in the 12 months before the claim.

Nothing in these Terms excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot lawfully be excluded — including, if you are a consumer, your statutory rights in the quality of the digital content we supply.


11. Changes to the Service and to these Terms

We may change the Service, including which features exist and what each one shows. Where a change materially reduces what your account can do, we will make reasonable efforts to tell you by email before it takes effect.

Where a change affects what you have paid for, the notice rules in Terms of Sale §10 apply instead of the 14 days in this section: 30 days' notice for a price change, taking effect at your next renewal, and the right to cancel before it does.

We may change these Terms. The current version is always at this address, with the version it carries and a "last updated" date. Material changes will be notified by email to the address on your account, and take effect no sooner than 14 days after notice. Continuing to use the Service after that is acceptance.

These Terms and the Data API's terms carry separate version numbers and are accepted separately. A change here never re-prompts a Data API client, and a change there never re-prompts you.


12. Suspension and termination

You may stop using the Service and delete your account at any time.

We may suspend or terminate your access if you breach these Terms, if we are required to by law, if your account has been inactive for a long period, or if we withdraw the Service.

Termination does not by itself refund anything. What happens to a subscription in progress and to unspent runs on termination is in Terms of Sale §11.

Sections 7, 9, 10, 12, 13 and 14 survive termination, as do §§12 and 13 of the Terms of Sale.


13. Everything else

Feedback. If you send us suggestions about the Service, we may use them without obligation to you. Do not send us anything you consider confidential.

No partnership. These Terms do not create a partnership, agency or employment relationship.

Assignment. You may not assign these Terms without our consent. We may assign them to an affiliate or in connection with a merger or sale of the business.

Severability. If any provision is unenforceable, the rest stands.

No waiver. If we do not enforce a provision, that is not a waiver of it.

Third parties. Nobody other than you and us has any right to enforce these Terms.

Entire agreement. These Terms, the Terms of Sale, the Refund Policy, the Privacy Policy and the Risk Disclaimer are the whole agreement between us about the Service.


14. Law and jurisdiction

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules. The state and federal courts located in Delaware have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, and you consent to their jurisdiction.

If you are a consumer in the United Kingdom or the European Union, nothing in this section deprives you of the protection of any mandatory provision of the law of the country where you live, or of your right to bring proceedings there where the law gives you that right.

The United Nations Convention on Contracts for the International Sale of Goods does not apply.
